Terms of Service

Welcome to Good Idea! Marketing. These Terms of Service (“Terms”) govern your access to and use of our digital marketing services, website, custom AI agents, and related software solutions. By engaging our services or using our platform, you agree to be bound by these Terms.

1. Scope of Services

Good Idea! Marketing provides a variety of digital marketing solutions, including but not limited to the deployment of custom AI assistants, website development and support, Search Engine Optimization (SEO), paid advertising management, and social media management.

2. Payment, Billing, and Refunds

  • Fees and Subscriptions: Our services typically consist of an initial setup fee followed by a monthly recurring subscription. Specific pricing and scope will be outlined in your individual proposal or invoice.
  • Non-Refundable Policy: Following standard agency practice, all sales are final. Setup fees, monthly retainers, and subscription payments are strictly non-refundable once work has commenced or software has been deployed.
  • Failed Payments and Suspension: If a payment fails or an account becomes past due, all associated services—including active AI agents, ad campaigns, and hosting—will be paused and suspended until the outstanding balance is paid in full and the account is reinstated.

3. Term Length and Cancellation

  • Commitment Periods: Most of our services operate on a month-to-month basis. However, certain services (such as website support on new site builds or specific foundational marketing campaigns) require a minimum 90-day commitment, which will be explicitly stated in your onboarding agreement.
  • Cancellation Notice: We require a strict 30-day written notice prior to your next billing cycle to cancel any service. If notice is given less than 30 days before the next billing date, you will be billed for one final cycle.

4. Client Responsibilities and Delays

  • Access and Assets: To deploy our AI bots and execute marketing campaigns, you must promptly provide us with necessary assets and access credentials (e.g., website admin access, CRM logins, social media roles, advertising accounts).
  • Client Delays: If a project or service deployment is delayed due to a failure on the client’s end to provide necessary access, approvals, or assets, Good Idea! Marketing will continue to bill at the agreed-upon amount and timeframe. Billing schedules are not contingent upon the completion of onboarding if the delay is caused by the client. (This ensures that resources reserved for your account are compensated, regardless of bottlenecks on the client’s end).

5. Intellectual Property and Licensing

  • Agency IP: Good Idea! Marketing retains full and exclusive ownership of the underlying AI architecture, custom prompts, workflows, and proprietary software integrations used to build your digital assistants.
  • Client IP: You retain full ownership of your specific brand assets, logos, customer lists, and business data. You are free to assign a custom name to your AI agent.
  • Internal Use Only (No White-Labeling): Your license to use our AI bots and software is strictly for your own internal business operations. Clients are expressly prohibited from reselling, white-labeling, or distributing our bots or services to third parties or their own clients.

6. Artificial Intelligence Disclaimer and Liability

  • AI “Hallucinations” and Errors: Artificial Intelligence is an evolving technology and can occasionally generate unpredictable, inaccurate, or off-brand responses (commonly known as “hallucinations”). Our AI agents are provided on an “as-is” basis. Good Idea! Marketing is strictly held harmless and will not be liable for any errors, incorrect pricing, bad advice, or unauthorized statements made by the AI agent to your customers.
  • No Financial Guarantees: Any figures, ROI calculators, projected lead volumes, or revenue estimates provided during the sales process or by our AI tools are purely illustrative. Good Idea! Marketing makes no guarantees of any kind regarding specific financial outcomes, sales metrics, or performance results.

7. Governing Law

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the appropriate courts located in or near Newnan, Georgia.
